BUSINESS ORGANIZATIONS

A Guide to Incorporating a Business in Mexico, is designed to help those lawyers and business individuals outside of Mexico who are contemplating doing business in Mexico and want to know what is necessary for the creation of a Mexican business association. The information provided in this guide includes not only the applicable law, but also the practice and where necessary, cultural attitudes. In addition, whenever necessary or helpful, it provides comparative references to United States law or practice and covering every aspect of incorporation, starting with the sources of the law and continuing with each step of the process: from the selection of a suitable type of business association, to the creation of the public deed that contains the charter and bylaws of the corporation or other form of business association, to the different types of shares, meetings, decision-making, distribution of profits, transfer of shares, representation of the company and dissolution.

The Impact of Changes to the Mexican Maquiladora System and Related Issues in U.S. Customs: focuses on Mexican Customs laws and procedures as a result of NAFTA Article 303. The analysis focuses on the manner in which NAFTA Article 303 affected the Maquiladora and Pitex Industries in Mexico, among others. Chemical Emergency Service Capabilities & Constraints Along the U.S.-Mexico Border: The first section of the report discusses domestic legal requirements in each country. Transshipment and Other Threats to the Enforcement of Intellectual Property Rights in Canada and Mexico: A study completed by the National Law Center for Inter-American Free Trade on the cross-border transshipment of priated intellectual property goods (including software, clothing and footwear apparel, sporting equipment, toys, music recordings, videos, DVDs, etc.), as well as other threats to the enforcement of intellectual property rights (IPR) and customs laws in the NAFTA region.The publication provides an assessment of prevailing conditions in the countries analyzed, as well as suggestions and recommendations on ways to combat transshipment, including improved enforcement of IPR and customs laws. The publication also identifies existing customs and IP laws, regulations and case law that apply and examines how those are implemented (or not) in practice, including their strengths and weaknesses, as well as the extent of private sector involvement. The study, which was completed in May 2003 for U.S. Customs ("Homeland Security"), also provides a comparative analysis of the status of IPR enforcement at the border in the European Union.
